Partner Programme Terms
These terms are an agreement between you and Instad Web Services Ltd., operating as Adviuz ("Adviuz", "we", "us"), Scotiabank Building, 111 2nd Ave S, Unit 400, Saskatoon, SK, Canada. They apply to anyone who applies to or takes part in the Adviuz Partner Programme ("you", "Partner"). You accept them when you tick the box on the partner application, or when you first use your partner link or partner portal, whichever comes first. If you do not agree, do not apply or take part.
These terms work alongside our Terms of Service and Privacy Policy. If anything here conflicts with those documents on a partner matter, these terms apply.
1. Key terms
- Partner link means the personal link we give you, such as adviuz.com/p/YOURCODE, and any code tied to it.
- Registered lead means a business you add in your partner portal with that business's permission.
- Referred client means a business that becomes an Adviuz client and is credited to you under section 4.
- Qualified order means an order a referred client has paid in full for Adviuz services (for example a Digital Flyer campaign, an AI Conversion Engine plan or a top-up), that has not been refunded, reversed or charged back.
- Net order value means the amount the referred client actually paid for a qualified order, excluding sales taxes (GST, HST, PST, QST and US sales taxes), any amount later refunded or charged back, and any credits, bonus views or free services we provide.
- Commission period means the 12 months starting on the date the referred client's first qualified order is paid.
2. Joining the programme
You must be at least 18 years old (or the age of majority where you live) and a business or individual in Canada or the United States. The information you give us must be true and kept up to date. We review every application and may approve or decline it at our sole discretion, without giving reasons. We may ask you to verify your identity, business details or payment details at any time. You may hold only one partner account. Approval does not create any exclusive arrangement for you or for us.
3. Our relationship
You are an independent contractor. Nothing in these terms makes you our employee, agent, franchisee, joint-venture partner or legal representative. You cannot sign contracts, accept orders, quote prices, offer discounts or make any promise on our behalf. You pay your own costs of promoting Adviuz unless we agree otherwise in writing. You decide how and when you work, as long as you follow these terms and the law.
4. How referrals are credited
A business is credited to you when, within 90 days of first opening your partner link or being added as your registered lead, it places its first qualified order and our records show your link or registration. Our system of record decides credit. In particular:
- First valid partner wins. If more than one partner refers the same business, credit goes to the first valid link visit or registration in our records.
- Existing contacts are not eligible. We do not credit a business that was already our client, or an open lead in our system, in the 12 months before your referral.
- No self-referrals. You cannot earn commission on your own business, or on a business you own, control or are employed by, unless we agree in writing.
- Registered leads must be genuine. You may only register a business you have actually spoken with and that has agreed to hear from Adviuz.
- Referrals obtained in breach of these terms are not credited.
If you believe a referral was credited wrongly, tell us within 30 days of the order. We will review our records in good faith, and our decision is final.
5. Commission
- First order: 10% of the net order value of the referred client's first qualified order.
- Repeat orders: 5% of the net order value of every further qualified order the referred client pays during the commission period, for any Adviuz product or service.
- After 12 months: no further commission is earned for that referred client, even if they keep buying.
- Our records decide. Order amounts, dates and payment status are taken from our order records.
- Large or custom deals: for orders of $50,000 CAD or more, or custom agreements, we may agree a different commission with you in writing before the deal closes. Without that written agreement, the rates above apply.
A commission is earned only when the qualified order is paid and has cleared. Nothing is earned on quotes, unpaid invoices, failed payments, free trials, credits or bonus services.
6. Payouts
- Holding period. A commission becomes payable 30 days after the qualified order is paid, as long as it has not been refunded, disputed or charged back.
- Schedule. We pay monthly, by the 15th, for commissions that became payable in the previous calendar month.
- Minimum. The minimum payout is $100 CAD. Smaller balances carry over to the next month.
- Currency and method. Payouts are in Canadian dollars by Interac e-Transfer for Canadian partners, and by bank transfer or PayPal for US partners. Bank, transfer or currency-conversion fees charged by those services may be deducted.
- Your details. You must give us accurate payment and tax details. We may hold payouts until they are complete and correct. If we cannot pay you for 12 months after we have asked you for missing details, the unpaid amount is forfeited to the extent the law allows.
- Records. Every commission and payout, with its amount, date and reference, is shown in your partner portal. If you think a payout is wrong, tell us within 60 days of the payout date.
7. Refunds, chargebacks and clawbacks
If a qualified order is refunded, reversed, charged back or found to be fraudulent, the related commission is cancelled. If it was already paid to you, we may deduct it from future commissions, or ask you to repay it within 30 days of our request.
8. Taxes
You are responsible for all taxes on your commissions. Commission amounts are stated before GST/HST. If you are registered for GST/HST or QST, give us your registration number and we will add the applicable tax to your payout. US partners may need to give us a W-9 or W-8BEN form. We may issue tax slips (such as a T4A or 1099) where the law requires, and we may withhold amounts the law requires us to withhold.
9. How you may promote Adviuz
- Be honest and accurate. Describe Adviuz using the information on adviuz.com or materials in your portal. Do not invent features, results, prices or statistics.
- Never promise results. Adviuz does not guarantee leads, appointments, sales, revenue or any other result, and neither may you.
- Prices come from Adviuz. Send prospects to your partner link or to us for pricing. Do not promise discounts, special prices, refunds or terms we have not approved in writing.
- Disclose that you earn commission. Whenever you recommend Adviuz, make it clear that you may earn a commission, as Canada's Competition Act and the US FTC Endorsement Guides require. For example: "I'm an Adviuz partner and may earn a commission if you sign up."
- Follow anti-spam and calling laws. Any commercial email, text, message or call you send must follow Canada's Anti-Spam Legislation (CASL), the Telephone Consumer Protection Act (TCPA), do-not-call rules and all other laws that apply, including having the recipient's consent where required.
10. What is not allowed
You must not, directly or through anyone else:
- send spam, bulk or unsolicited messages, cold texts, robocalls or auto-dialled calls to promote Adviuz;
- buy, rent, scrape or harvest contact lists, or use lists without the consent the law requires;
- bid on "Adviuz" or similar words, or misspellings, in search or social ads, or use them in ad copy, without our written approval;
- register or use domains, social accounts, apps or business names that contain "Adviuz" or anything confusingly similar;
- pretend to be Adviuz, its staff or an official channel, or create pages, ads or messages that could be mistaken for ours;
- use cookie stuffing, forced clicks, hidden links, pop-unders, bots, incentivised or fake clicks, or any trick to obtain credit you did not genuinely earn;
- post or arrange fake, paid or misleading reviews, testimonials or ratings about Adviuz or any competitor;
- promote Adviuz on sites, groups or content that are illegal, hateful, sexually explicit, violent, deceptive, or that infringe others' rights;
- make negative, false or misleading statements about competitors in Adviuz's name; or
- refer a business you know intends to use Adviuz for anything illegal or prohibited by our Terms of Service.
A breach of this section is a material breach of these terms.
11. Using our brand
While you are an approved partner, we give you a limited, non-exclusive, non-transferable, revocable licence to use the Adviuz name, logo and the marketing materials in your portal, only to refer businesses to Adviuz and only as we provide them. You may not alter, combine or create new versions of our logos or materials, or use them in a way that suggests we endorse you beyond being a partner. We may withdraw or update materials at any time, and you must stop using anything we ask you to stop using within 5 business days. All goodwill from the use of our brand belongs to Adviuz.
12. Our product and intellectual property
Adviuz owns all rights in its platform, website, client hub, partner portal, Digital Flyer distribution system and view-counting method, AI Conversion Engine, software, workflows, scripts, designs, templates, pricing and quoting methods, reports, documentation, trademarks and any patent applications, and all improvements to them ("Adviuz IP"). Nothing in these terms transfers any of it to you. You must not, and must not help anyone else to:
- copy, reproduce, record, imitate or create derivative works of any part of Adviuz IP;
- reverse engineer, decompile, scrape, crawl or extract data, code, prompts, scripts or designs from our website, hub, portal or demos;
- use Adviuz IP, demo access, quotes or our confidential information to build, develop, market or help anyone build a competing product or service;
- share screenshots, recordings, logins or materials from the hub or portal with competitors or anyone not entitled to them; or
- remove or obscure any notice, label or branding on our materials.
If you give us ideas or feedback, we may use them freely without paying you or crediting you.
13. Confidentiality
Confidential information means anything non-public you learn through the programme, including pricing and rate structures, quote and commission formulas, client and lead information, hub and portal content, product plans, and the terms of any custom deal. You must keep it confidential, use it only to take part in the programme, and protect it at least as carefully as your own confidential information. This duty continues for 3 years after the partnership ends, and for as long as the information remains a trade secret. It does not apply to information that is or becomes public without your fault, that you already lawfully had, or that you must disclose by law (in which case you will give us notice first, where the law allows).
14. Non-circumvention and non-solicitation
During the partnership and for 12 months after it ends, you must not:
- encourage a referred client, or a business you learned about through the programme, to move to a competing digital flyer, pay-per-view advertising or AI lead follow-up service, or to reduce or cancel its business with Adviuz;
- offer a referred client a service that copies or substitutes for Adviuz services using our confidential information or Adviuz IP; or
- solicit any Adviuz employee or contractor you dealt with through the programme to leave Adviuz.
This does not stop you from running your own business, serving your existing clients in ways that do not rely on our confidential information or Adviuz IP, or responding to general job advertisements. You agree these limits are reasonable to protect Adviuz's business and confidential information.
15. Personal information
When you register a lead, you confirm that the business and the person you name have agreed to share their details with Adviuz and to be contacted by us. You must handle any personal information you receive through the programme only for the programme, keep it secure, follow Canadian privacy law (including PIPEDA) and other laws that apply, and delete it when the partnership ends or when we ask. Your portal shows only the information you need to follow your referrals. We handle personal information as described in our Privacy Policy.
16. Your portal and account
Keep your portal login private and secure. You are responsible for everything done through your account. Tell us right away at [email protected] if you think someone else has accessed it. We may suspend access to protect you, our clients or Adviuz.
17. Reviews and investigations
We may review how you promote Adviuz and ask for copies of your ads, messages, pages or lists, and you will provide them within 10 business days. If we reasonably suspect a breach of these terms, fraud or a complaint about your conduct, we may hold related commissions for up to 90 days while we investigate. Commissions linked to a confirmed breach are forfeited.
18. Ending the partnership
- Either of us may end the partnership at any time by email, with or without a reason.
- We may suspend or end it immediately if you breach these terms, act illegally or dishonestly, or harm Adviuz's reputation, clients or relationships.
- When it ends, your partner link and portal stop working. You must stop using our brand and materials, and return or delete our confidential information.
- Commissions earned on qualified orders paid before the end date are paid on the normal schedule, subject to sections 6 and 7. No commission is earned on orders paid after the end date. If we end the partnership because of your breach or fraud, commissions related to that conduct are forfeited.
19. No earnings promise
We do not promise that you will earn any amount. The programme is provided as it is. We may change, pause or end the programme for everyone with at least 30 days' notice, or sooner if the law requires. Commissions already earned will still be paid.
20. Liability
To the extent the law allows, Adviuz is not liable to you for any indirect, incidental, special or consequential loss, or for lost profits, revenue, business or opportunity. Our total liability to you for all claims relating to the programme is limited to the commissions paid or payable to you in the 12 months before the claim arose.
21. Your indemnity
You will defend and compensate Adviuz, its owners, staff and contractors against any claim, fine, penalty, loss or cost (including reasonable legal fees) arising from your promotion of Adviuz, your breach of these terms, your breach of any law (including anti-spam, calling, privacy and advertising laws), or any statement you make about Adviuz that we did not authorise.
22. Disputes
If a disagreement arises, contact us first at [email protected]. We will both try in good faith to settle it within 30 days. If we cannot, the dispute will be decided by the courts of the Province of Saskatchewan, and you agree to their jurisdiction. Claims may be brought only on an individual basis, not as a class or representative action, to the extent the law allows. Nothing here stops Adviuz from seeking an urgent court order (such as an injunction) anywhere to protect its intellectual property, confidential information or brand.
23. Changes to these terms
We may update these terms. For significant changes, including changes to commission rates, we will email you at least 30 days before they take effect. Changes never reduce commissions already earned. If you continue in the programme after a change takes effect, you accept the updated terms. If you do not agree, you may end the partnership under section 18.
24. General
- Governing law. These terms are governed by the laws of the Province of Saskatchewan and the federal laws of Canada that apply there.
- Whole agreement. These terms, together with any written commission agreement under section 5, are the whole agreement about the programme and replace earlier discussions on the subject.
- Assignment. You may not transfer your partner account or these terms. We may transfer them as part of a reorganisation, merger or sale of our business.
- Severability. If any part of these terms is found unenforceable, it will be limited to the minimum extent necessary, and the rest stays in effect.
- No waiver. If we do not enforce a right right away, we can still enforce it later.
- Notices. We may give notice by email to the address on your partner account, or in your portal. You may give notice to [email protected].
- Survival. Sections 7, 8, 12, 13, 14, 15, 18, 20, 21, 22 and 24 continue after the partnership ends.
- Electronic acceptance. Ticking the agreement box, or using your partner link or portal, is your electronic signature and has the same effect as signing on paper. We keep a record of when you accepted and which version applied.
- Language. These terms are written in English, and that version applies.
- The companies behind Adviuz. Your agreement is with Instad Web Services Ltd. (Canada) only.
